Terms of Service

1. Acceptance and Eligibility

By accessing ToolCenter, creating an account, submitting content, or purchasing a service, you agree to these Terms. If you do not agree, do not use the service. You must have legal capacity to enter into these Terms and comply with the laws that apply to you.

2. ToolCenter Services

ToolCenter provides an AI and productivity-tool directory and related services, including:

• Tool discovery, search, categories, rankings, comparisons, reviews, and editorial content.
• Paid tool-submission, compliance review, listing, and optional featured placement services.
• Sponsored Article editorial review and publication services for customer-supplied drafts.
• Custom featured placement, sponsorship, and newsletter opportunities agreed separately.

3. Accounts

You are responsible for providing accurate information, protecting your account credentials, and all activity performed through your account.

Notify us promptly if you suspect unauthorised access. We may require verification before changing account, submission, or order information.

4. Prices and Payments

The price, currency, scope, and included benefits shown at checkout apply to your order. Unless stated otherwise, ToolCenter's self-service listing and Sponsored Article products are one-time purchases charged in USD.

Payments are processed by Stripe. Available payment methods may vary by account configuration, currency, location, device, and Stripe eligibility. An order is paid only after ToolCenter receives successful payment confirmation.

5. Review and Fulfilment

Delivery starts after successful payment and receipt of the required materials:

• Tool-listing submissions are normally reviewed within 48 hours after complete and accessible materials are provided.
• Sponsored Articles are normally reviewed and published within 5–7 business days after a usable, compliant draft is provided. Article credits should be used within 30 days unless we agree otherwise.
• Incomplete, inaccessible, misleading, infringing, or non-compliant materials may require revisions and extend the delivery timeline.

6. Cancellation and Refunds

Contact us promptly if you need to cancel an order. Cancellation availability depends on payment status and whether review, editing, or delivery has started. The following product rules apply unless mandatory law requires otherwise:

• A cancelled or expired Checkout Session that was never paid does not create a paid order.
• A tool submission rejected during review receives a full refund, normally initiated within 72 hours.
• After a tool is approved and listed, the listing service has been delivered and is generally non-refundable.
• Sponsored Articles use revisions first. If we determine that we cannot publish the submitted article, we will refund the applicable article service; customer-requested cancellation after editorial work starts is not guaranteed.
• If a listing is removed following a valid claim by the original tool owner, any refund is limited to the unused portion of undelivered benefits.

7. Submitted Content and Licence

You retain ownership of content you submit and confirm that you have the rights and permissions needed to provide it. You grant ToolCenter a non-exclusive, worldwide licence to review, edit, format, reproduce, display, distribute, and promote that content as needed to deliver and operate the service.

You remain responsible for the accuracy, legality, rights clearance, claims, links, and materials in your submission. Our review does not transfer that responsibility to ToolCenter.

8. Prohibited Content and Conduct

You may not use ToolCenter to submit, promote, link to, or facilitate:

• Illegal content, intellectual-property infringement, counterfeit services, unauthorised software access, or circumvention tools.
• Adult sexual content or services, gambling, controlled substances, or other prohibited or restricted business activity.
• False, misleading, impersonating, malicious, fraudulent, or fabricated products, claims, reviews, or traffic.
• Malware, credential theft, harassment, privacy abuse, security attacks, scraping that disrupts the service, or attempts to bypass our controls.

9. Commercial Disclosure and No Traffic Guarantee

Paid listings, sponsored articles, featured placements, and commercial links may be labelled or technically marked as sponsored or advertising. Payment does not guarantee editorial endorsement.

ToolCenter does not guarantee that Google, Bing, Baidu, another search engine, an AI system, or any third party will discover, index, rank, cite, display, or send traffic to a listing or article.

10. Third-Party Tools and Links

ToolCenter contains links to independent third-party products and websites. We do not control or warrant their availability, security, accuracy, pricing, content, or practices. Your use of them is governed by their own terms.

11. ToolCenter Intellectual Property

ToolCenter's site design, software, branding, and original content are protected by applicable intellectual-property laws. These Terms do not grant permission to copy, modify, distribute, or exploit them except as required for ordinary use of the service.

12. Removal, Suspension, and Service Changes

We may reject, edit, label, suspend, remove, or decline to renew content or accounts that violate these Terms, create legal or security risk, become inaccessible, or harm users or ToolCenter. We may modify or discontinue features while taking reasonable steps to address already-paid, undelivered services.

13. Disclaimers and Limitation of Liability

ToolCenter is provided on an as-is and as-available basis. To the extent permitted by law, we do not guarantee uninterrupted operation, error-free content, particular business results, or the accuracy of third-party information.

To the extent permitted by law, ToolCenter and its contributors are not liable for indirect, incidental, special, consequential, or punitive loss arising from use of the service or third-party tools. Nothing in these Terms excludes liability that cannot legally be excluded.

14. Governing Law, Changes, and Contact

These Terms are governed by the laws of the People's Republic of China. Disputes should first be addressed through good-faith discussion and, if unresolved, submitted to a court with competent jurisdiction.

We may update these Terms as the service or applicable requirements change. The revision date at the top identifies the current version; continued use after an update means you accept the revised Terms where permitted by law.
